At Trade Magnet (Modll Pty Ltd, ABN 79 639 342 484), we believe in being upfront about how we work. These Terms of Service ("Terms") set out the rules for using our automations, integrations, hosted services, and websites.
By using our services, you agree to these Terms. If you don't agree, you should not use our services.
1. Our Services
We design, build, and maintain automation solutions, integrations, and tools for service-based businesses. This includes:
- Platform integrations (e.g. ServiceM8, Simpro, AroFlo, Fergus, GoHighLevel, and other API-enabled systems)
- Custom workflow automation and job syncing
- API-based tool development and cloud deployment
- OAuth-connected apps with secure access
- Hosted AI/LLM products for data parsing and insights
Services may be delivered as one-off projects or through ongoing hosted/support plans. We act as a systems integrator: we do not own or control third-party platforms, and their performance or availability is outside our control.
2. Client Responsibilities
Clients are responsible for:
- Providing accurate information, access credentials, and approvals needed to deliver services
- Ensuring they have legal rights and authority to use and share any data or systems we integrate
- Using the automations, integrations, and tools we provide in a lawful and reasonable way
- Notifying us of any issues, changes, or revocations of access that may affect integrations
We rely on your input and access to your systems to do our job effectively.
3. Fair Use & Service Limits
Hosted services and integrations are subject to fair use. This may include reasonable limits around job volumes, API requests, system load, or storage.
If your usage exceeds reasonable limits or impacts system stability, we may contact you to discuss adjustments, apply additional fees, or suspend usage until resolved.
4. Security & Access Control
We take security seriously. Access credentials (such as API keys, passwords, or OAuth tokens) are:
- Stored securely in encrypted systems (e.g. n8n, 1Password with 2FA)
- Only shared internally on a temporary, time-limited basis for engineers assigned to your project
- Never disclosed outside of Trade Magnet without your permission
If you revoke access or remove integrations, functionality may be affected. We will assist in reconfiguring where possible.
5. Data & Privacy
Your privacy is governed by our Privacy Policy, which forms part of these Terms. In summary:
- You retain ownership of your business data
- We only use your data for the purposes of delivering our services
- We may retain anonymised metadata to improve our products
- We never sell your data
- You may request deletion of your stored data at any time
6. Ownership of Intellectual Property
You own:
- All business data in your connected systems
- Any intellectual property you provide (logos, templates, documents)
- Your login credentials and API access keys
We own:
- The underlying code, integrations, and automation frameworks we develop
- Trade Magnet intellectual property, trademarks, and proprietary tools
Unless otherwise agreed in writing, you receive a licence to use the automations and integrations we provide, but not ownership of the underlying code.
7. Accountability & Limitation of Liability
Trade Magnet is not liable for:
- Downtime, changes, or errors caused by third-party platforms
- Client misuse, misconfiguration, or unauthorised use of tools
- Indirect, incidental, or consequential losses (including lost revenue or profits)
To the maximum extent permitted by law, our liability is limited to the value of the services provided, and is covered by our insurance policies.
8. Insurance & Risk Management
To protect our clients and business, Trade Magnet maintains active cover for:
- Professional Indemnity Insurance – up to $1 million
- Public Liability Insurance – up to $10 million
- Cybersecurity Insurance – active
9. Termination
Either party may terminate services with reasonable written notice. We may suspend or terminate services immediately if:
- You breach these Terms
- Your use of services causes harm, instability, or legal risk
- You fail to make agreed payments
Upon termination, you may request deletion of stored data and credentials. Some obligations (e.g. confidentiality, limitation of liability) continue after termination.
10. Dispute Resolution
If you have concerns or disputes:

- We will respond and attempt resolution within 30 days
- If unresolved, you may escalate to the Office of the Australian Information Commissioner (OAIC) or another relevant authority
11. Governing Law
These Terms are governed by the laws of Australia and the State of Victoria. Any disputes will be subject to the jurisdiction of the courts of that State.
12. Instant Estimate Tool
Our website offers an instant estimate tool that generates an indicative price from a short, automated chat. Any figure it produces is indicative only: it is not a quote, not an offer, and not binding, and final pricing is confirmed only in a written proposal after we scope the work. Use of the tool is governed by our Instant Estimate Terms, which form part of these Terms.
